“Government Fees” means filing, registration and other charges imposed by a government authority.

“Third-Party Fees” means fees charged by registered agents, filing providers, address providers, verification providers or other independent providers involved in fulfilling an order.

1. Company Formation Orders

If you purchase a company formation package and subsequently change your mind, you may request cancellation before we have begun processing or submitting your formation application.

Where your written cancellation request is received within 14 calendar days of purchase and the formation application has not yet been submitted to the relevant government authority or third-party formation provider, we may refund the amount paid, subject to any work already performed or non-refundable expenses already incurred.

Once a formation application has been submitted

Once your company formation application has been submitted to the relevant government authority, the formation service is considered to have commenced and/or been substantially performed.

At this stage, the company formation package, government filing fees and applicable third-party fees are non-refundable.

This applies even if:

  • You subsequently change your mind;

  • You no longer require the company;

  • You provided incorrect or incomplete information;

  • The relevant government authority rejects the application;

  • Processing takes longer than originally expected due to circumstances outside our reasonable control.

Submission of an application does not guarantee approval. Final approval remains at the discretion of the relevant government authority.

2. Additional Products and Services

If you purchase an additional product or service and change your mind, you may request cancellation within 14 calendar days of purchase, provided that we or our third-party providers have not started performing the service.

Once work has commenced, the service may become partially or entirely non-refundable.

This includes services for which we have already:

  • Prepared documents;

  • Submitted information;

  • Placed an order with a third-party provider;

  • Purchased a registered agent or address service;

  • Paid government or third-party fees;

  • Performed verification or administrative work;

  • Otherwise begun fulfilling the service.

Any non-refundable government or third-party costs already incurred will be deducted from any refund for which you would otherwise be eligible.

3. Rejected Company Formation Applications

Approval of a company formation application is controlled by the relevant government authority.

We cannot guarantee that an application will be accepted.

Where an application is rejected because of incorrect, incomplete or otherwise unsuitable information supplied by the customer, the customer will generally not be entitled to a refund for work already performed or government and third-party costs already incurred.

Where reasonably possible, we may assist the customer in identifying the reason for rejection and determining whether the application can be corrected and resubmitted.

4. Government and Third-Party Fees

Government filing fees and third-party charges are generally non-refundable once incurred.

These may include:

  • State filing fees;

  • Registered agent fees;

  • Business address fees;

  • Mail forwarding fees;

  • Verification fees;

  • Expedited processing fees;

  • Third-party filing fees;

  • Other costs incurred specifically to fulfil your order.

Where a third-party provider refunds a fee to us, we may pass the corresponding refundable amount back to you where appropriate.

5. Processing Times

Any processing or completion times displayed on our Website are estimates unless expressly stated otherwise.

Government agencies and third-party providers operate independently from us, and their processing times may change because of workload, holidays, technical issues, compliance reviews or other circumstances outside our control.

A processing delay alone does not automatically create a right to a refund once we have submitted the application or incurred costs in fulfilling the order.

6. Incorrect Customer Information

Customers are responsible for ensuring that information submitted to us is complete and accurate.

We are not responsible for delays, additional costs or rejected applications resulting from inaccurate or incomplete information supplied by the customer.

If correcting an application requires an additional government filing fee or third-party charge, the customer may be required to pay that additional cost before we can continue processing the request.

7. Registered Agent and Address Services

Registered agent, business address, mail forwarding and similar services may be provided by third-party providers and may be subject to their own cancellation and refund policies.

Once such a service has been activated or purchased from a third party on your behalf, the applicable fees may be non-refundable.

We reserve the right to suspend or cancel an address, registered agent or related service where we reasonably believe continued provision creates a compliance, fraud, legal, reputational or operational risk.

8. Renewable Services

Certain services may renew automatically.

Customers may cancel future renewals in accordance with the cancellation procedure applicable to that service.

Cancellation of a renewable service prevents future renewals but does not necessarily create a right to a refund for a renewal period that has already begun or for third-party services that have already been purchased or activated.

9. Pricing Errors

Changes or increases in government or third-party fees do not constitute a Force Majeure event.

11. Refund Processing

Approved refunds will normally be returned using the original payment method where possible.

The time required for the refunded amount to appear in your account may depend on your bank, card issuer or payment provider.

We are not responsible for processing delays caused by financial institutions after a refund has been successfully initiated by us.

12. Chargebacks and Payment Disputes

Customers are encouraged to contact us before initiating a chargeback or payment dispute so that we have an opportunity to investigate and resolve the issue.

Initiating a payment dispute does not automatically entitle a customer to a refund.

Where a service has already been delivered, an application has been submitted, or government or third-party expenses have already been incurred, we reserve the right to provide the relevant payment processor or financial institution with documentation demonstrating the order, customer authorisation and services performed.

Nothing in this section limits any rights a customer may have under applicable law or the rules of their payment provider.
